Real estate development firm, Houses for Africa Nigeria Limited, has debunked what it described as false and misleading claims contained in a publication credited to Mr. Adeniran Olatokunbo Ogunmuyiwa, published on October 9, 2025.
The company said the report, titled “Abuja’s River Park Estate Scandal Deepens as Houses for Africa Disowns Kojo Mensah,” was inaccurate and unrepresentative of the facts, insisting that it does not reflect the true ownership or management structure of the company.
In a statement signed by its Company Secretary, the firm emphasized that official filings with the Corporate Affairs Commission (CAC) confirm that its legitimate directors are Mr. Kojo Ansah Mensah, Sir Samuel Esson Jonah, Mr. Victor Quainoo, and Mr. Jonah Nathaniel. It warned that any individual not listed in the CAC records has no lawful authority to act or speak on behalf of the company.
The statement explained that Ogunmuyiwa’s connection to the company began through JonahCapital Nigeria Ltd, the original allottee of River Park Estate, which had Sir Samuel Esson Jonah, KBE (40%), Mr. Adeniran Ogunmuyiwa (30%), and Mrs. Olakitan Aramide (30%) as shareholders at incorporation.
In 2007, Sir Samuel Jonah invited a U.S.-based investor, Houses for Africa Holdings Inc., Delaware, USA, to invest in the Nigerian operations, leading to the incorporation of Houses for Africa Nigeria Limited in February 2008.
Following a shareholders’ agreement that same year, the ownership structure was reconstituted with Houses for Africa Holdings Inc. holding 80 percent equity and Mr. Ogunmuyiwa 20 percent.
However, the company noted that by a Heads of Agreement dated June 1, 2012, and a Special Resolution of April 9, 2013, Ogunmuyiwa voluntarily relinquished his 20 percent stake. In return, he was allocated development rights over 94.8 hectares of land in River Park and an additional 45 hectares for the settlement of creditors.
He subsequently resigned from the board in 2017, as confirmed by his signed resignation letter, and ceased to have any official or ownership role in the company thereafter.
Houses for Africa added that since 2014, Mr. Kojo Ansah Mensah has been the sole signatory to all company accounts domiciled in Zenith Bank, UBA, and Wema Bank. He has also overseen the payment of staff salaries, statutory deductions, vendor payments, pension remittances, and tax obligations, as well as the filing of CAC annual returns and all regulatory fees. The firm said these facts are verifiable with its bankers and regulators.
Responding to recent media reports, the company observed that journalists had made several attempts to reach Ogunmuyiwa and another individual, Mr. Paul Odili, for clarification on their claims but said such efforts had not produced any official response.
The company also reacted to reports linking Chief Anthony Aikunegbe Malik, SAN, to a purported lawsuit filed on behalf of Houses for Africa Nigeria Limited against the Minister of the Federal Capital Territory. It stated categorically that neither the board nor the legitimate directors of the company had authorized any such legal action or retained his services.
Reaffirming its commitment to transparency, Houses for Africa urged the public and press to rely solely on verifiable documentation, including CAC filings, resignation letters, and duly executed shareholder agreements, when reporting on the company’s affairs.
